Terms of Service

1. Acceptance of Terms
By accessing or using the Medyca platform, website, or any associated services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Medyca Tech Labs (“Medyca,” “we,” “us,” or “our”).
2. About Medyca
Medyca is a cloud-native, AI-powered clinical platform designed to support healthcare professionals, institutions, and patients. The platform provides structured reporting tools, AI-assisted quality validation, DICOM medical image management, clinical decision support, and multi-specialty workflow capabilities. Medyca is built to enhance the quality and efficiency of clinical work — not to replace professional medical judgment.
3. Eligibility
You must be at least 18 years of age to use the Service. Clinical features of the platform — including report generation, AI-assisted analysis, and clinical decision support — are intended for use by licensed healthcare professionals. By accessing clinical features, you represent and warrant that you hold the appropriate professional licenses and credentials required in your jurisdiction. Institutional accounts must be registered by an authorized representative of the organization.
4. Account Registration
To access the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at contact@medyca.ai if you become aware of any unauthorized use of your account. You may not share your account credentials with others or allow unauthorized individuals to access the platform through your account.
5. Scope of Service
Medyca provides the following capabilities:
- Structured radiology reporting with customizable templates and reusable medical components.
- AI-powered report quality scoring, completeness validation, and intelligent suggestions.
- DICOM medical image upload, storage, and management.
- Report lifecycle management with version history, immutability enforcement, and audit trails.
- Multi-specialty clinical workflows (as modules become available).
Medyca does not provide medical diagnoses, treatment recommendations, or clinical decisions. The platform is a tool designed to assist healthcare professionals — it does not replace the clinical judgment, expertise, or responsibility of a licensed practitioner.
6. Clinical Disclaimer
All AI-powered features within Medyca — including quality scoring, completeness validation, suggestions, and future clinical decision support tools — are designed as assistive tools only. They are intended to support, not replace, the professional judgment of licensed healthcare providers. The final responsibility for all clinical decisions, diagnoses, and treatment plans rests solely with the treating physician or qualified healthcare professional. Medyca does not guarantee the accuracy, completeness, or clinical appropriateness of AI-generated outputs and shall not be held liable for clinical outcomes resulting from reliance on such outputs.
7. Acceptable Use
When using the Service, you agree not to:
- Use the platform for any purpose other than its intended clinical and healthcare functions.
- Upload, transmit, or store content that is unlawful, harmful, threatening, defamatory, or otherwise objectionable.
- Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform.
- Use automated scripts, bots, or other tools to access or interact with the Service without authorization.
- Interfere with or disrupt the integrity, security, or performance of the Service.
- Violate any applicable local, national, or international law or regulation in your use of the Service.
8. Healthcare Data Responsibilities
If you process patient data through the Medyca platform, you acknowledge and agree that you are responsible for ensuring that such processing complies with all applicable healthcare data protection laws, including the LGPD and any sector-specific regulations. You must obtain all necessary consents, authorizations, or legal bases required to process patient data before entering it into the platform. You agree not to upload or process patient data in a manner that violates any applicable law or the rights of any individual. Medyca provides the technical infrastructure for secure data processing but does not assume the regulatory responsibilities of healthcare providers or institutions.
9. Intellectual Property
The Medyca platform, including all software, algorithms, AI models, user interfaces, designs, documentation, and related intellectual property, is owned by Medyca Tech Labs and protected by applicable intellectual property laws. You retain ownership of all content you create using the platform, including reports, templates, and clinical data. By using the Service, you grant Medyca a limited, non-exclusive license to process your content solely for the purpose of delivering the Service. This license does not grant Medyca ownership of your content or the right to use it for purposes unrelated to service delivery.
10. Subscription and Billing
Access to certain features of the Service requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be updated from time to time. By subscribing to a paid plan, you agree to pay all applicable fees in accordance with the billing terms presented at the time of purchase. Subscriptions are billed on a recurring basis (monthly or yearly) unless cancelled. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Medyca reserves the right to change pricing with reasonable notice to subscribers.
11. Service Availability
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned maintenance. Medyca shall not be liable for any loss or damage resulting from service interruptions, delays, or downtime.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Medyca Tech Labs, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, without limitation, damages for loss of profits, data, goodwill, or other intangible losses. Medyca’s total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Medyca during the twelve months immediately preceding the event giving rise to the claim. This limitation applies regardless of the legal theory on which the claim is based. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Medyca Tech Labs, its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any applicable law or regulation, or your processing of patient data through the platform.
14. Termination
We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in conduct that is harmful to Medyca or other users, or if required by applicable law. You may terminate your account at any time by contacting us at contact@medyca.ai. Upon termination, you may request export of your data in a standard format, subject to our data retention policies and legal obligations. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and governing law — shall remain in effect after termination.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, including the Brazilian General Data Protection Law (LGPD). Any disputes arising out of or related to these Terms shall be submitted to the competent courts of Brazil. Nothing in these Terms shall limit your rights under applicable consumer protection or data protection laws.
16. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated Terms on our website with a revised effective date and, where appropriate, by sending you a notification via email or through the platform. We will provide at least 30 days’ notice before material changes take effect. Continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.
